Terms of Service
1. Introduction
These Terms of Service (“Terms”) govern access to and use of the website ImprovingMIPractices.org, along with any related websites, applications, emails, APIs, widgets, advertisements, and digital services (collectively, the “Services”).
The Services are owned and operated by Addis Enterprises LLC, a Michigan limited liability company, doing business as Improving Practices (“IMP,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Scope of Services
The Services include only those digital properties, platforms, and functionalities owned or controlled by IMP. The Services do not include websites, applications, platforms, or content owned or operated by clients, partners, or other third parties, even if linked to or referenced within the Services.
IMP does not control and is not responsible for third-party services, content, or platforms.
3. Eligibility and Intended Users
The Services are intended primarily for individuals associated with the provision, study, administration, or support of mental and behavioral health services connected to the State of Michigan.
By creating an account or accessing the Services, you represent and warrant that at least one of the following is true:
- You are a mental or behavioral health professional currently residing in, practicing in, or working in association with the State of Michigan; or
- You have been instructed or directed to register for the Services by a Michigan-based employer, agency, institution, or university, including where such work, instruction, or affiliation occurs remotely or across state lines.
- The Services are not marketed to the general public. IMP reserves the right to restrict, suspend, or terminate access if eligibility or affiliation is misrepresented.
4. Age Requirements
The Services are intended for use by individuals 18 years of age or older.
Individuals under the age of 13 may not access or use the Services under any circumstances. Individuals between the ages of 13 and 17 may access the Services only with the consent and supervision of a parent or legal guardian.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:
- Disrupt, damage, or interfere with the operation or security of the Services;
- Attempt unauthorized access to systems, accounts, or data;
- Scrape, harvest, or collect data without authorization;
- Introduce malware or engage in malicious activity;
- Misrepresent your identity or affiliation.
IMP may suspend, restrict, or discontinue access to the Services at any time for violations of these Terms.
6. Accounts and Security
Certain portions of the Services require an account. You are responsible for maintaining the confidentiality of your login credentials. You may not share your password with any third party.
IMP personnel will never request your password. If you suspect unauthorized access or unusual activity, you must notify IMP promptly at support@improvingmipractices.org and take immediate steps to secure your account.
7. Privacy
IMP’s collection and use of personal information are governed by its Privacy Policy, available at: https://improvingmipractices.org/privacy-policy By using the Services, you consent to the Privacy Policy in its entirety.
8. Intellectual Property
Platform Code and Functionality
All underlying software, code, architecture, functionality, and design of the Services are the exclusive property of Addis Enterprises LLC (DBA Improving Practices).
IMP grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for their intended purpose. Users may not copy, modify, distribute, or reverse-engineer any portion of the Services without prior written authorization.
State of Michigan Content
Certain non-user-submitted content available through the Services, including but not limited to training materials, educational resources, courses, assessments, videos, and documentation, is owned by or licensed from the State of Michigan. IMP has no responsibility for, and expressly disclaims any warranties regarding the accuracy or appropriateness of, any such content.
Users may access such content solely for personal or professional development. Users may not reproduce, redistribute, sell, commercially exploit, claim ownership of, or create derivative works from such content without authorization from the State of Michigan.
Unauthorized use may result in termination of access and legal action.
User-Submitted Content
Users may submit content, including forms, surveys, or assessments (“User Content”).
By submitting User Content, you agree that:
- You retain ownership of your original content;
- You grant IMP a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute such content in connection with the Services;
- You are solely responsible for ensuring that your content does not infringe any third-party rights.
- IMP reserves the right to remove or restrict User Content that violates these Terms or applicable law. IMP has no responsibility for, and expressly disclaims any warranties regarding the accuracy or appropriateness of, any User Content.
Trademarks
All trademarks, service marks, logos, and branding associated with IMP, Improving MI Practices, the State of Michigan, or affiliated partners are protected by applicable intellectual-property laws. Unauthorized use is prohibited.
9. Disclaimers
The Services are provided on an “as is” and “as available” basis. IMP makes no warranties, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, or non-infringement.
IMP does not warrant that the Services will be uninterrupted, error-free, or free from harmful components.
To the fullest extent permitted by law, IMP and the State of Michigan disclaim all implied warranties.
10. Limitation of Liability
To the maximum extent permitted by law, neither IMP nor the State of Michigan, nor their respective employees, contractors, or affiliates, shall be liable for any indirect, incidental, consequential, special, or punitive damages arising from or relating to the Services, including but not limited to the use of or inability to use the Services, content errors, data breaches, or third-party services.
11. Release and Indemnification
By accessing or using the Services, you agree to release, defend, indemnify, and hold harmless IMP, Addis Enterprises LLC, the State of Michigan, and their respective employees, contractors, and affiliates from any claims, damages, losses, or expenses arising out of or in any way related to your use of the Services, any violation of these Terms, or any User Content.
12. Accessibility
IMP is committed to digital accessibility and strives to comply with WCAG 2.0 AA standards, the Americans with Disabilities Act (ADA), Section 508 of the Rehabilitation Act, and applicable state and federal laws.
Nothing in these Terms limits or waives any accessibility obligations imposed by law.

13. Third-Party Services and Links
The Services may include links to or integrations with third-party services. Third-party services operate independently and are governed by their own terms and privacy policies.
IMP does not endorse or assume responsibility for third-party services, content, or practices.
14. Changes to These Terms
IMP may update these Terms from time to time. Material changes will be posted to the Terms page at least fourteen (14) days before taking effect, except when immediate changes are required for legal or security reasons.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-laws principles.
Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within Ingham County, Michigan, unless otherwise required by applicable law. By using the Services, you consent to personal jurisdiction and venue in such courts.
